Last updated:

Draft — pending legal review. This document is a working draft and has not yet been approved by legal counsel. Bracketed items will be completed before final publication.

1. Who we are

These Terms are an agreement between you and [Registered legal entity name — to be completed], registered at [Registered address — to be completed] ([Company registration number — to be completed]) ("Lunxa", "we"). Contact: legal@lunxa.com.

2. Scope

These Terms govern access to lunxa.com, app.lunxa.com and related services (the "Services"). Business customers may additionally agree to an order form, the Data Processing Agreement and any service-level or enterprise agreement; where they conflict, the specific agreement prevails.

3. Eligibility

You must be at least 16 years old (or the age of digital consent in your country, if higher) and able to enter a binding contract. You must provide accurate registration information and keep it current.

4. Your account

You're responsible for keeping your credentials confidential and for activity under your account. Enable two-factor authentication where possible and tell us promptly at security@lunxa.com if you suspect unauthorised access. We may restrict access while we investigate suspected compromise.

5. Workspaces and organisations

The workspace owner controls the workspace, its membership, roles and billing. Admins can manage settings and members as permitted by their role. An organisation that creates a workspace is responsible for the authorised users it invites and their use of the Services.

6. The Services

Lunxa Workspace provides project and task management, document storage, AI assistance, automations and related features as described on our website. Features marked Beta, Testing or Preview are experimental, may change or be withdrawn, and are provided without service commitments.

7. Your content

You keep ownership of content you upload or create ("Customer Content"), subject to third-party rights. You grant us a limited licence to host, process, transmit and display Customer Content only as needed to provide, secure and support the Services and to meet legal obligations.

8. Our intellectual property

Lunxa software, branding, documentation and original website content belong to Lunxa or its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription in line with these Terms.

9. AI functionality

  • AI output is generated automatically, may be inaccurate, incomplete or out of date, and is not verified human work. Review it before relying on it.
  • AI features process only content you are authorised to access, and only for the request you make.
  • Requests are processed by third-party model providers listed in our AI Usage Policy.
  • AI can propose changes; consequential changes require your confirmation.
  • We don't guarantee that generated content is unique or protectable by intellectual property rights.
  • Your use of AI features must follow the AI Usage Policy and Acceptable Use Policy.

10. Acceptable use

You must not use the Services unlawfully or for fraud, harassment, malware, unauthorised access, infringement or other conduct prohibited by our Acceptable Use Policy, which forms part of these Terms.

11. Automations

You configure and authorise automations. They act with the permissions of the person who created them and can make changes in your workspace. Review automations before enabling them; we're not responsible for outcomes of workflows you configured, except where caused by our failure to provide the Services as described.

12. Integrations

Third-party services you connect are governed by their own terms. We access them only with the scopes you grant and you can disconnect them at any time.

13. Plans and limits

Plans, billing intervals, included features and usage limits are shown on our Pricing page and in your billing settings at the time of purchase. Limits are enforced automatically.

14. Payments

Payments are processed by our payment provider; we don't store card numbers. Prices are shown with the applicable currency and tax treatment. Invoices are available in billing settings. If a payment fails we'll notify you and may retry; continued non-payment may lead to the workspace returning to the Free plan.

15. Renewals

Paid subscriptions renew automatically at the end of each billing period at the then-current price unless cancelled. Renewal terms are shown before purchase, and we'll give reasonable advance notice of price changes.

16. Cancellation

Workspace owners can cancel at any time in Settings → Billing. Cancellation takes effect at the end of the current paid period; paid features remain available until then, after which the workspace moves to the Free plan.

17. Refunds

Except where required by law or stated otherwise at purchase, fees already paid are non-refundable. Mandatory consumer rights are not affected.

18. Right of withdrawal (EU/EEA consumers)

If you are a consumer in the EU/EEA you may withdraw from a paid subscription within 14 days of purchase without giving a reason. If you asked us to start the service during the withdrawal period, you may be charged proportionately for the service provided until withdrawal. To withdraw, contact billing@lunxa.com. [Model withdrawal form and final wording to be confirmed by counsel.]

19. Availability

We aim for high availability but do not guarantee uninterrupted service. Planned maintenance and incidents are communicated on our status page. Contractual service levels apply only where agreed in a separate SLA.

20. Changes

We may update the Services and these Terms. We'll notify you of material changes in advance by email or in-app; continued use after the effective date means you accept the changes. Where legally required we'll ask for your consent.

21. Suspension

We may suspend accounts or workspaces to address security threats, serious or repeated policy violations, legal requirements or non-payment. We act proportionately, notify you where possible and explain how to resolve the issue.

22. Termination

You can close your account at any time. We may terminate for material breach after notice. After termination, Customer Content is deleted according to our retention schedule, except where we must retain records by law (such as invoices). You can export your data before closing your account.

23. Data protection

Our Privacy Policy explains how we process personal data. For business customers, the Data Processing Agreement applies to personal data we process on your behalf.

24. Warranties and liability

[Business-customer warranty disclaimer and liability cap to be drafted and approved by legal counsel.] Nothing in these Terms excludes or limits liability that cannot be excluded by law, including for death or personal injury caused by negligence, fraud, or consumers' statutory rights.

25. Governing law and disputes

[Governing law and courts to be confirmed by counsel.] Consumers keep the protection of mandatory laws of their country of residence and may bring claims in their local courts.

26. Contact

[Registered legal entity name — to be completed], [Registered address — to be completed]. Email: legal@lunxa.com.

27. Supplemental terms

The following may apply in addition: enterprise agreements, the Data Processing Agreement, service-level agreements, API terms, beta terms and support agreements.

28. Acceptance records

When you accept these Terms we record your user ID, the version you accepted and the time of acceptance. You can view the current version here at any time.
